Implementation of Integrity Management

       In order to assist the Company's internal personnel's conduct in complying with ethical standards, to enable stakeholders to understand the codes of ethical conduct that the Company's personnel should follow when performing their duties and to expose corporate activities that will not hinder social order and morality, we have developed“ Codes of Ethical Conduct of TSC”, which applies to TSC personnel, including directors (including independent directors), managers (including the president, vice presidents, directors of various units and the persons who can manage the affairs of TSC and have signature rights) and employees. In addition, “Employees Normal-Time and Project Evaluation Guidelines”, “Working Rules for Practitioners,”, “Service Guidelines for Practitioner” and “Practice Guidelines for Corporate Governance” are stipulated and the “Ministry of Economics Employee Integrity and Ethics Rules” is followed. We allow practitioners to understand the company's code of conduct by the internal network, posting laws and announcements and implementing education and training.
       In addition to actively promoting law-based administration to avoid employees’ non-compliance and the occurrence of illegal crimes, “profitability”, “service” and “efficiency” are taken as targets according to the characteristics of the organization to help build a quality and transparent corporate environment. In addition, the company has a number of reporting and appealing channels, such as the fax, special mailbox and the hotline for reporting. The above information is disclosed on the Tender Notices and on TSC’s official website.
       TSC has set up the Internal Audit, BOD and Department of Ethics, ensuring that the execution of business is in compliance with relevant statutory regulations, such as Company Act, Securities and Exchange Act, Anti-Corruption Act, Government Procurement Act, Act Governing Food Safety and Sanitation, and related regulations or laws governing TWSE Listed and TPEx Listed Companies or other businesses as a basic prerequisite for the implementation of business integrity. External donations or sponsorships are handled in accordance with relevant laws and regulations and internal regulations to prevent the incident of offering of accepting abribe and illegal political contributions. In 2017, TSC did not engage in any public policy lobbying or political donation, but actively cooperated with the government's policies.

Education and Training for Integrity Management

       In order to publicize anti-corruption policies and related procedures, the Department of Ethics and Ethics Offices of all units involved enabled the Company's employees to understand relevant anti-corruption regulations and make anti-corruption efforts by multi-advocacy methods such as organizing the relevant anti-corruption education and training, holding a workshop of manufacturers, inviting experts and scholars to give special lectures, issuing and disseminating documents and using electronic information equipment for the internet advocacy and questionnaire surveys. The Department of Ethics and its 22 Ethics Offices organized a total of 28 sessions of anti-corruption training and advocacy exercises in 2017. The number of employees involved totaled 1,700 employees. In addition, the anti-corruption policy advocacy and training was carried out for employees of the company and its subordinate units through text, e-mail, and videos to make sure that 100% of employees participated in training classes.

Information Transparency

       Information disclosure is an important responsibility of a company's operations. We do comply with the obligation of information disclosure in accordance with the "Guidelines for Online Filing of Public Information by Public Companies" issued by the Securities and Futures Commission, Ministry of Finance. The company has set the "Directions for Online Filing" on the public information, designated personnel responsible for the collection and disclosure of TSC Information and exposed information on corporate governance on the TSC website. In order to quickly transfer the major information of TSC to the general public and internal organizations of the company, an efficient communication system has been set up. In addition to the regular shareholders’ meetings and annual reports, there are also response measures for emergencies, such as the setting of “Disasters Emergency Response Guidelines ”and "Guidelines for Reporting Matters in Occupational Safety and Health Management Information System Reports ". When news is required for major disasters and emergencies, it will be signed by the unit and approved by the president, and the information will be emailed to all directors. The designated spokesperson shall make uniform external explanations and replies or take the initiative to convene a press conference to ensure timely disclosure of information that may affect the decisions of shareholders and stakeholders. In addition, the information including finance, business, corporate governance, public welfare activities and publications is disclosed on TSC’s official website for the reference of shareholders and stakeholders and is updated from time to time.
